Terms of Use
Version 2.0 · Effective date: 4 October 2026
Who these Terms apply to. These Terms are an agreement between you and Individual Entrepreneur Nikita Dobroslavovich Udartsev, registered in the Republic of Armenia. They apply if you pay for Lectify through the Apple App Store, or if you use the free version with an App Store account of any country other than Russia.
If you pay through YooKassa, or use the free version with a Russian App Store account, the Russian-language agreement applies instead: Пользовательское соглашение. Lectify in Russia is run by the same person as an individual entrepreneur registered in the Russian Federation.
The short version (a summary only; the full Terms below are what count):
- Your recordings, transcripts and summaries belong to you. We store them in our cloud so AI can process them and you can open them on any device. We don't train AI models on them.
- Only record people where it's allowed. You are responsible for your recordings and for who you share them with.
- AI makes mistakes. Check summaries and answers against your course materials, especially before exams.
- Subscriptions renew automatically until you cancel them in your Apple ID settings. You keep access until the end of the period you paid for.
- You can delete your account and all your data in the app's settings.
By signing in to Lectify (including through our Telegram bot), uploading content or making a purchase, you agree to these Terms and confirm that you have read our Privacy Policy. If you do not agree, please do not use Lectify.
1. Definitions
1.1. "Lectify", "we", "us" means Individual Entrepreneur Nikita Dobroslavovich Udartsev (details in section 22).
1.2. "Service" means the Lectify iOS app, the Telegram bot @lectify_bot, the websites lectify.app and share.lectify.app, and the servers and APIs behind them.
1.3. "Your Content" means everything you record, upload or create in the Service: audio and video, documents, links, text, photos and notes taken during a recording, chat messages, and the AI Output generated for you.
1.4. "AI Output" means transcripts, summaries, diagrams and visualisations, flashcards, quizzes, AI podcasts, answers from Lecty and other material the Service generates with artificial intelligence based on your content.
1.5. "Lecty" is the Service's AI assistant. Lecty is software, not a person.
1.6. "Subscription" means a paid plan (Plus or Ultra) that gives you higher limits and extra features for the period you paid for.
1.7. "Minutes" are the amount of audio and video you can process in a period. "AI credits" are internal units spent on AI features (chat, quizzes, podcasts, exam mode and others). Minutes and AI credits are not money, cannot be exchanged for money and cannot be transferred to other users.
1.8. "Group" means a space in the Community section where several users chat, share materials and keep track of events and deadlines. A direct chat between two users is also a Group.
2. What Lectify does
2.1. Lectify helps you study from lectures. You can:
- record lectures, including in the background, and mark key moments, notes and photos while recording;
- upload audio and video files, documents (PDF, DOCX and others), YouTube links and text;
- get a transcript and a summary, and combine several materials into a project;
- ask Lecty about a lecture by voice or text, and prepare for exams in exam mode;
- create flashcards, quizzes, AI podcasts and study games, including duels with other users;
- share lectures by link and talk with classmates in Groups.
2.2. Some features require a Subscription or AI credits. The app shows what each plan includes before you buy.
2.3. We keep improving the Service and may add, change or remove features. If we remove a feature that was part of a Subscription you paid for and this materially reduces what you get, you may request a refund for the unused period from Apple (section 10.5), and we will support your request.
2.4. You need a compatible device, an up-to-date operating system and an internet connection. Your carrier's data charges are your responsibility.
3. Who can use Lectify
3.1. You must be at least 13 years old. Lectify is not directed to children under 13.
3.2. If you are under 18 (or under the age of majority where you live), your parent or legal guardian must agree to these Terms on your behalf, and purchases require their permission. If the law of your country requires parental consent for processing your data up to a higher age (for example, 16 in some EU countries and in Armenia), that consent is required too.
3.3. If we learn that a user is under 13, we will delete the account and its data.
4. Your account
4.1. You can sign in with Apple (Sign in with Apple) or Telegram. We receive only the information listed in our Privacy Policy and never receive your passwords.
4.2. Your account is personal. Don't share it or let others use it. Only one device on an account can record at a time. We look at technical signals of account sharing (see the Privacy Policy) and may restrict an account that is clearly being used by several people.
4.3. You are responsible for keeping your Apple or Telegram account secure and for activity in your Lectify account. If you suspect unauthorised access, email us at info@lectify.app.
4.4. In the Community section your account has a public profile: name, @username and avatar. Other users can see it, including in search. Don't put anything in your profile you wouldn't want others to see.
5. Your licence to use Lectify
5.1. We grant you a personal, limited, non-exclusive, non-transferable, revocable licence to use the Service for your own study. If you downloaded the app from the App Store, you may use it on Apple devices you own or control, as permitted by Apple's Usage Rules (including Family Sharing where available).
5.2. You may not:
- copy, sell, rent, sublicense or commercially exploit the Service;
- decompile, reverse engineer or modify the Service, interfere with its operation, or bypass technical limits;
- scrape or harvest data from the Service with bots or automated means without our written permission;
- use the Service to build a competing product or to provide paid transcription services to others.
5.3. The Service, its code, design, texts, the Lecty character and the Lectify name belong to us or our licensors.
6. Your content and where it is stored
6.1. You own your content
6.1.1. You keep all rights you have in Your Content. We treat AI Output generated for you as yours too: we claim no ownership of it and use it only to run the Service. Whether AI Output is protected by copyright depends on the law where you are.
6.1.2. You are responsible for what you upload: that you are allowed to record and use it, and that it respects the rights of lecturers, classmates and others.
6.2. Cloud storage
6.2.1. Lecture recordings (audio), uploaded files, photos, transcripts, summaries and other Content are stored in our cloud database and file storage on every plan, including the free plan. This lets us process your materials with AI, show them on all your devices, restore them when you change phones, and reprocess them without the original file. A copy of a recording may also be kept on your device, depending on the "Save Audio Locally" setting.
6.2.2. Your Content is stored until you delete it or delete your account. The Privacy Policy explains where our servers are and how long backups are kept.
6.2.3. We back up our database to protect against failures, but we cannot guarantee that content will never be lost. Keep your own copies of anything important.
6.3. The licence you give us
6.3.1. So that we can provide the Service, you grant us a worldwide, royalty-free, non-exclusive licence to host, store, copy, process, convert, transmit to our AI providers, and display Your Content to you and to the people you choose to share it with.
6.3.2. This licence is only for running the Service. It ends when you delete the content or your account (subject to the time it takes for backups to expire). We do not publish, sell or use Your Content in advertising.
6.4. Recording other people
6.4.1. A lecture recording usually includes the voices of the lecturer and other students. Laws on recording people differ between countries and states: some require everyone's consent. Universities and lecturers also have their own rules.
6.4.2. You agree to:
- record only where recording is allowed by law and by your institution's rules, and not record if the lecturer forbids it;
- never secretly record private conversations you are not part of;
- use recordings for your own study and not publish them without the consent of the people whose voices they contain;
- tell people they are being recorded, and get their consent, where the law requires it.
6.4.3. We do not check whether you have the consents you need. If a person whose voice or data appears in a recording contacts us, we may restrict or remove that recording (section 12).
6.5. Lecturers' materials
6.5.1. Lectures, slides and course materials may be protected by the copyright of the lecturer or institution. You may record and process them for your own study to the extent the law allows. Do not distribute them, including through public links, without the rights holder's permission.
6.6. Sharing
6.6.1. You can share a lecture by link. The link opens a web page with the title, date, length, summary and your name in short form (for example, "Anna K."). Anyone with the link can open it, including people without an account. A recipient with an account can save the lecture to their own library together with the audio, transcript and study materials.
6.6.2. A copy a recipient saves to their library becomes their content: it is not deleted when you delete your lecture or account. We cannot delete copies that recipients have saved outside the Service.
6.6.3. If you delete the lecture, its summary disappears from the page, but the page may still show the lecture's title, date, length and your short name. To disable a link completely, email us at info@lectify.app.
6.6.4. Everything you post in a Group is visible to its members (section 7).
6.7. What's not allowed
6.7.1. You may not use the Service to:
- post content that infringes others' rights, including copyright and privacy;
- post illegal content, including terrorist content, incitement to violence or hatred, sexual content involving minors, or non-consensual intimate content;
- harass, bully or threaten others, or share their personal data without consent;
- send spam, commit fraud or spread malware;
- access other people's data without permission or disrupt the Service.
6.7.2. If you break these rules, we may remove content, limit features or suspend your account (section 13).
7. Groups
7.1. In Groups you can send messages, photos and voice messages, share materials, keep events and deadlines, and ask Lecty questions. Everything you post in a Group is visible to its members. Lecty's answers to questions asked publicly are visible to all members; a private conversation with Lecty inside a Group is visible only to you.
7.2. A Group's creator and moderators manage its members and permissions. We are not a party to relationships between Group members and are not responsible for what they post.
7.3. You can report messages and block users. We review reports and may remove content or restrict accounts, but we do not review messages before they are posted.
7.4. Group members can save or forward what you post. Don't post anything in a Group you aren't comfortable sharing with its members.
8. Artificial intelligence
8.1. Transcripts, summaries, quizzes, flashcards, podcasts and Lecty's answers are generated automatically by AI models. They can contain errors, omissions and made-up facts, especially when audio quality is poor. Check AI Output against your course materials before relying on it, including before exams.
8.2. AI Output is not professional advice (medical, legal, financial, psychological or any other).
8.3. To fulfil your requests, the Service sends the relevant part of your content to our AI providers. We do not use Your Content to train AI models. Our providers process it under their own API terms, which differ: some never use API data for training, while DeepSeek's policy allows it to use submitted data to improve its models. The Privacy Policy lists our providers and what each of them receives.
8.4. Lecty can remember what you tell it about yourself and your studies (for example, your major or upcoming exams) to give better answers. Memory is on by default; you can view, clear or turn it off in Settings → Personalization.
8.5. If we ever want to use content to improve AI models, we will ask for your separate, explicit consent, which you can withdraw at any time. Without that consent, it doesn't happen.
9. Academic integrity
9.1. Lectify is a tool for understanding material. Follow your institution's rules on using AI, recording classes and independent work.
9.2. Don't use the Service to cheat in tests or exams where that is prohibited, and don't use it to distribute answers to live tests or exams. You are responsible for complying with your institution's rules.
10. Subscriptions and purchases
10.1. Free plan
10.1.1. You can use Lectify for free within limits: the total number of recordings is capped for the lifetime of the account, free Minutes are granted once, and AI credits are granted monthly. Current limits are shown in the app.
10.2. Plans and prices
10.2.1. Lectify offers two Subscription plans, Plus and Ultra, each billed monthly or yearly, and one-time packs of AI credits (300, 1,000 and 3,000 credits). The limits of each plan and the cost of AI features in credits are shown in the app.
10.2.2. Purchases are made through Apple's in-app purchase system. The price is shown in the App Store in your local currency before you confirm the purchase, and includes any taxes Apple is required to collect. Apple is responsible for billing and payment processing.
10.3. Free trial
10.3.1. Where offered, the Plus plan comes with a 7-day free trial. Unless you cancel at least 24 hours before the trial ends, your Apple ID will be charged the price of the plan you chose (monthly or yearly), and the Subscription will continue. Apple decides whether your Apple ID is eligible for a trial. During the trial, the plan's weekly limits apply — a quarter of the monthly ones.
10.3.2. If you upgrade to Ultra during a Plus trial, the trial ends and Ultra is charged at its full price.
10.4. Automatic renewal
10.4.1. Subscriptions renew automatically for the same period at the then-current price unless auto-renewal is turned off at least 24 hours before the end of the current period. Your Apple ID is charged within 24 hours before the end of the current period.
10.4.2. To cancel, open Settings → [your name] → Subscriptions on your iPhone, or open Manage subscription in the app's settings and choose Manage in App Store. Deleting the app or your Lectify account does not cancel a Subscription bought through the App Store.
10.4.3. After you cancel, you keep access until the end of the paid period; then your account moves to the free plan. Your Content is not deleted.
10.4.4. When you switch between plans, the App Store applies the change: an upgrade takes effect immediately and Apple refunds the unused part of your current plan on a prorated basis; a downgrade takes effect at your next renewal date.
10.4.5. If we raise the price of a Subscription, Apple will notify you and, where required, ask for your consent before charging the new price.
10.5. Refunds
10.5.1. Refunds for App Store purchases are handled by Apple under its policies; you can request one at reportaproblem.apple.com. We cannot issue refunds for App Store transactions ourselves.
10.5.2. Nothing in these Terms limits any refund or withdrawal rights you have under mandatory consumer law, including the right of consumers in the European Union and the United Kingdom to withdraw within 14 days, which Apple administers for App Store purchases.
10.6. Minutes, AI credits and bonuses
10.6.1. Minutes and AI credits included in a Subscription are granted for each month of the Subscription (on yearly plans too) and expire at the end of that month; unused amounts do not roll over. Free Minutes are granted once per account.
10.6.2. AI credits from purchased packs do not expire at the end of a period and are spent after your Subscription credits. They remain available for as long as your account exists.
10.6.3. We may offer bonuses, such as extra credits and recordings for inviting friends, gifts for friends, or promotional offers. Bonus terms are shown in the app. Bonuses cannot be exchanged for money, and we may cancel bonuses obtained through abuse (fake accounts, self-referrals, manipulation).
11. Using Lectify in the European Union
11.1. Our single point of contact for users and for authorities under the EU Digital Services Act is info@lectify.app; you can write to us in English or Russian.
11.2. We moderate content only in response to reports and when we become aware of clearly illegal content; we do not use automated tools to remove content. Decisions are made by a person.
11.3. If we remove your content or restrict your account, we tell you what we did and why, unless the law prevents it. You can challenge the decision by replying to that message or writing to info@lectify.app; a person will review it.
12. Reporting content
12.1. If you believe content in the Service is illegal or infringes your rights (copyright, privacy, voice or image, reputation), use the report button in the app or email info@lectify.app. Please include: your name and email; where the content is (link, title or screenshot); why you believe it is illegal or infringing; and a statement that the information in your report is accurate and complete to the best of your knowledge.
12.2. We review reports promptly and, where a report is justified or content is clearly illegal, restrict or remove the content. The person who posted it may send us a counter-notice with evidence of their rights.
12.3. Copyright holders may send notices that meet the requirements of the US Digital Millennium Copyright Act (17 U.S.C. § 512(c)(3)) to the same address.
12.4. We terminate the accounts of users who repeatedly infringe others' rights.
13. Suspension, termination and account deletion
13.1. We may restrict or end your access if you break these Terms or the law, put the Service or other users at risk, or if a competent authority requires it. Except in urgent cases, we warn you first.
13.2. You can delete your account at any time in the app's Settings (the link at the bottom of the screen) or by emailing us. Deletion is permanent: your account and Content are removed from our live systems, usually immediately and in any case within 30 days, and from backups when they expire, as described in the Privacy Policy. Cancel any App Store Subscription in your Apple ID settings, as account deletion does not cancel it.
13.3. After deletion, the following remain: copies of lectures that other users saved from your links (section 6.6.2); your messages and materials in Groups, without your name and avatar; records we are required by law to keep, if any; and anonymised usage statistics.
14. Disclaimers
14.1. We work hard to keep the Service available and accurate, but it depends on the internet, AI providers, hosting and app stores. To the extent permitted by law, the Service is provided "as is" and "as available", and we do not promise that it will be uninterrupted or error-free or that AI Output will be accurate, complete or fit for your purpose.
14.2. Some jurisdictions do not allow certain warranties to be excluded. In that case, the exclusions apply only to the extent the law allows, and your statutory rights as a consumer are not affected.
15. Limitation of liability
15.1. To the extent permitted by law, we are not liable for: indirect or consequential losses, or loss of profits or opportunities; decisions made based on AI Output; actions of other users, including people you share links with and Group members; consequences of recording or sharing content in breach of section 6; or failures of carriers, AI providers, payment providers and app stores.
15.2. To the extent permitted by law, our total liability to you under these Terms is limited to the greater of the amount you paid for the Service in the 12 months before the event giving rise to the claim, or US$100.
15.3. Nothing in these Terms limits liability for death or personal injury caused by negligence, for fraud or wilful misconduct, or any other liability that cannot be limited by law.
16. Your responsibility to us
To the extent permitted by law, you agree to compensate us for losses (including reasonable legal costs) arising from third-party claims caused by content you uploaded or shared in breach of these Terms, or by your breach of the law.
17. Events beyond our control
We are not responsible for failures caused by events beyond our reasonable control, including natural disasters, war, government actions (including blocking of networks), large-scale outages of communications, hosting, payment or AI providers, and major cyberattacks.
18. Changes to these Terms
18.1. We may update these Terms. The current version and its effective date are always available at lectify.app/en/terms.
18.2. We will tell you about material changes in the app at least 14 days before they take effect, unless a change is required by law sooner. If you don't agree, you can cancel your Subscription and delete your account before the change takes effect. If you continue using the Service after that, you accept the new Terms.
19. Governing law and disputes
19.1. These Terms are governed by the laws of the Republic of Armenia. If you are a consumer, you also keep the protection of the mandatory laws of the country where you live.
19.2. If you have a complaint, please contact us first at info@lectify.app; we will try to resolve it within 30 days.
19.3. If we can't resolve it, disputes go to the competent courts of Yerevan, Armenia. If you are a consumer, you may also bring proceedings in the courts of the country where you live, where the law gives you that right. We do not use arbitration and do not require you to waive class or collective actions.
20. Additional terms for the Apple App Store
If you downloaded Lectify from the Apple App Store, the following also applies:
- Agreement. These Terms are between you and us only, not with Apple Inc. ("Apple"). We, not Apple, are solely responsible for the app and its content. These Terms do not override Apple's Media Services Terms and Conditions.
- Licence. Your licence to the app is limited to a non-transferable licence to use it on Apple-branded products you own or control, as permitted by the Usage Rules in Apple's Media Services Terms and Conditions; the app may also be accessed by other accounts associated with you through Family Sharing or volume purchasing.
- Maintenance and support. We alone are responsible for maintenance and support of the app. Apple has no obligation to provide any maintenance or support services for it.
- Warranty. We are responsible for any product warranties, whether express or implied by law, to the extent not effectively disclaimed. If the app fails to conform to any applicable warranty, you may notify Apple, and Apple will refund the purchase price of the app to you. To the maximum extent permitted by law, Apple has no other warranty obligation regarding the app; any other claims, losses, liabilities, damages, costs or expenses attributable to a failure to conform to a warranty are our responsibility.
- Product claims. We, not Apple, are responsible for addressing any claims by you or any third party relating to the app or your possession or use of it, including (i) product liability claims; (ii) any claim that the app fails to conform to any applicable legal or regulatory requirement; and (iii) claims arising under consumer protection, privacy or similar legislation.
- Intellectual property. If a third party claims that the app or your possession and use of it infringes that third party's intellectual property rights, we, not Apple, are solely responsible for the investigation, defence, settlement and discharge of that claim.
- Legal compliance. You represent and warrant that (i) you are not located in a country that is subject to a U.S. Government embargo, or that has been designated by the U.S. Government as a "terrorist supporting" country; and (ii) you are not listed on any U.S. Government list of prohibited or restricted parties.
- Developer contact. Questions, complaints and claims about the app should be directed to us using the details in section 22.
- Third-party terms. You must comply with applicable third-party terms when using the app (for example, your mobile carrier's terms).
- Third-party beneficiary. Apple and its subsidiaries are third-party beneficiaries of these Terms, and once you accept them, Apple has the right (and will be deemed to have accepted the right) to enforce these Terms against you as a third-party beneficiary.
21. General
21.1. If any part of these Terms is found invalid, the rest remains in effect.
21.2. You may not transfer your rights under these Terms without our consent. We may transfer them to a new owner of the Service as part of a sale or reorganisation of the business, provided your rights are not reduced and we notify you.
21.3. If we don't enforce a right immediately, we don't waive it.
21.4. These Terms are written in English. If they are translated, the English version prevails, except where the law of your country requires otherwise.
